I have been a business transactions attorney for 40 years, the last 20 of which have been on my own as a solo practitioner.

I’m who you will meet with (in person or by Zoom), talk on the phone with, and receive emails from.  I’m the one who will work with you to plan and complete your contract or business transaction from start-to-finish. I’m the one who will actually draft your legal documents and research any issues.

I have looked at lawyers from your perspective before, having spent 6 years as a co-founder and CFO of a private, Indiana-based water and wastewater project development company that was acquired by a large, publicly-held water utility.  I like to think that perspective helps me in helping you.  I was an accountant by original academic training (passed the CPA Exam in 1978).

I’ll try to put myself in your shoes to best figure out how to help you with:

I have handled sales and acquisitions for buyers and sellers ranging from $200,000 to $16,000,000 in purchase price.  See Representative Transactions for descriptions of recent deals I have done.  From selecting and negotiating the services of a business broker all the way through to the purchase price being wired at a closing, I’ll help you, where needed, to manage the process and people, negotiate business terms, perform due diligence, tax plan, and prepare all agreements and documentation.

Co-counsel engagements for business sales and acquisitions.  If you are a business owner that has a standing relationship with an attorney in a general practice (or if you are an attorney in general practice with a business owner client who wants to sell or buy a business), I can be a special co-counsel who either provides basic help/guidance in support of your regular attorney or, if desired, I can take a primary role (assisted by your regular attorney).

I have been a trusted advisor to business owners across the full spectrum of legal issues they typically confront.  Part of my job is to first help you figure out what you need and, second, help you get it done.  Sometimes the first part of that job is just as important or as difficult as the second part.  I will meet with you in person or by Zoom (no charge for our first meeting) to start that process.
